Saburati is a localized learning and school operations ecosystem provided by Baytelm Limited (“Baytelm”, “we”, “our”, or “us”). These Terms of Use govern access to and use of our websites, services, software, content, and applications, including:

• Saburati and related Baytelm products and services

These Terms apply to all users of our services, including educational institutions, service providers, and end users who access or use Saburati in any way.

By accessing or using our services, you agree to these Terms. If you do not agree, you must not use the services.

Changes to the Services or Terms

Baytelm may update, modify, suspend, or discontinue any part of the services, with or without notice. We may also revise these Terms from time to time. When we do, the updated version will be posted on this page and become effective as of the updated date.

Eligibility

You must be at least 13 years old to use the services. If you are under 13, you may use the services only with appropriate parental, guardian, school, or institutional authorization.

Payment and Subscription Terms

Unless otherwise stated in a separate order form or written agreement:

• Fees are due in full when purchased.
• Monthly and annual subscriptions are billed in advance.
• Usage-based or credit-based purchases are billed when the credits or services are acquired.
• Payments are non-refundable unless expressly stated otherwise.

If payment is not made when due, Baytelm may suspend or terminate access to the services. Overdue balances may accrue interest at the lower of 1.5% per month or the maximum rate permitted by law. You are also responsible for reasonable collection costs and legal fees incurred in recovering overdue amounts.

We may revise pricing at any time. Material pricing changes will be communicated in advance and will apply prospectively.

You are responsible for any taxes, duties, or governmental charges related to your use of the services, excluding taxes based on Baytelm’s net income.

License to Use the Services

Subject to these Terms, Baytelm grants you a limited, non-exclusive, non-transferable, revocable license to access and use the services for your internal educational or organizational purposes.

You may not:

• Copy, reproduce, distribute, or resell any part of the services except as permitted by law or by written permission from Baytelm
• Modify, reverse engineer, decompile, disassemble, or attempt to derive source code from the services
• Circumvent security, rate limits, access controls, or technical restrictions
• Use the services in violation of law or the rights of others
• Use the services to transmit harmful code, spam, or fraudulent content

Customer Data

You retain ownership of the data, content, files, records, and materials you submit to the services (“Customer Data”). You grant Baytelm a limited right to host, process, store, transmit, back up, and otherwise use Customer Data solely as needed to provide, maintain, secure, and improve the services.

You are responsible for ensuring that:

• You have the necessary rights and permissions to provide Customer Data to Baytelm
• Customer Data does not violate law, regulation, or third-party rights
• You obtain any required notices or consents from students, parents, staff, or other relevant parties

Baytelm Ownership and Usage Data

Baytelm and its licensors retain all rights, title, and interest in and to the services, software, interfaces, documentation, designs, trademarks, and other related intellectual property.

Baytelm may collect and use aggregated, anonymized, or de-identified usage and performance data for analytics, benchmarking, service improvement, product development, and reporting, provided that such data does not identify you or any individual.

Feedback

If you submit suggestions, ideas, feature requests, or other feedback, you grant Baytelm the right to use that feedback without restriction or compensation.

Privacy

Your use of the services is also subject to our Privacy Policy.

Security

Baytelm takes reasonable measures to protect the confidentiality, integrity, and availability of the services and the data processed through them. No system can be guaranteed to be completely secure, and you acknowledge that you use the services at your own risk.

Indemnity

You agree to defend, indemnify, and hold harmless Baytelm, its affiliates, officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses arising from:

• Your use of the services
• Your violation of these Terms
• Your Customer Data
• Your violation of law or third-party rights

Disclaimer of Warranties

The services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Baytelm disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation.

Baytelm does not warrant that:

• The services will meet every requirement or expectation
• The services will be uninterrupted, timely, secure, or error-free
• Data loss, corruption, delays, or service interruptions will never occur
• All defects or issues will be corrected

Limitation of Liability

To the fullest extent permitted by law, Baytelm will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, goodwill, use, or data, even if advised of the possibility of such damages.

Baytelm’s aggregate liability arising out of or related to the services or these Terms will not exceed the greater of:

• The amount you paid to Baytelm for the services during the 12 months preceding the event giving rise to the claim, or
• USD 100

Beta Services and Free Trials

Baytelm may offer beta features, preview releases, pilots, or free trials. These may be incomplete, unstable, or changed or discontinued at any time. Unless otherwise stated in writing, beta services and free trials are provided without warranty and may be subject to additional restrictions.

DMCA and Intellectual Property Complaints

Baytelm respects intellectual property rights. If you believe that material made available through our services infringes your copyright or other rights, please contact us with sufficient detail to investigate the claim.

Entire Agreement

These Terms, together with any applicable order form, subscription agreement, or incorporated policy, form the entire agreement between you and Baytelm regarding the services and supersede prior discussions or understandings on the same subject.

No Waiver

Baytelm’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

Governing Law

These Terms are governed by the laws of the Kingdom of Saudi Arabia, without regard to conflict-of-law principles.
